Aware AI Affiliate / Ambassador Terms of Service

These Affiliate / Ambassador Terms of Service ("Agreement") govern participation in the Aware Affiliate Program ("Program") operated by Aware AI ("Aware," "Company," "we," "us," or "our"), a company registered in the State of California. By participating in the Program, you agree to comply with these terms.

Approved Affiliates may earn commissions by referring paying users to Aware subscription products and services.

Affiliates must be at least 18 years of age and comply with all applicable laws and policies. An active paid Aware subscription is required to earn future affiliate commissions. If your subscription is cancelled or lapses, a 30-day grace period begins on the date the subscription becomes inactive. During the grace period, otherwise-eligible commissions may continue to accrue. After the grace period ends, if the subscription remains inactive, new commissions pause and no new commissions accrue until the subscription is reactivated. Commissions already earned and approved before the pause remain intact, subject to the fraud, refund, chargeback, reversal, and termination provisions of these terms.

Activation of the Affiliate dashboard and referral tools is free; no activation fee is charged. If your subscription becomes inactive and new commissions pause, reactivating a paid subscription resumes commission eligibility prospectively only. Referrals, clicks, conversions, and subscription payments occurring while your subscription was inactive do not earn new commissions and are not paid retroactively upon reactivation.

Commissions are earned on two levels. Level 1: When you directly refer a paying subscriber, you earn 30% of that subscriber's recurring subscription payments for as long as they remain active. Level 2: When someone you referred directly refers another paying subscriber, you earn 5% of that new subscriber's recurring subscription payments. The commission chain stops at two levels. Commissions are calculated on the advertised subscription price before taxes. Affiliate activation fees pay a 50% commission ($25). A minimum payout threshold of $50 applies before any payout is processed.

Only successful paid subscription transactions qualify for commissions. Taxes, generation credit top-ups, promotional credits, failed payments, disputes, and refunds are excluded.

Referral attribution permanently locks after a user clicks a referral link and completes SSO login or account creation.

All commissions and bonuses remain pending for a minimum of 30 days from the date earned for fraud, dispute, and chargeback protection. Following the 30-day hold period, eligible commissions are batched and reviewed for payout on the 1st of each calendar month. First-time payouts are subject to the full Net 30 hold from the date of first commission before becoming eligible for the next monthly cycle. Payouts are subject to admin review and approval before funds are released. Aware reserves the right to delay or withhold payouts pending fraud review, chargeback investigation, or identity verification.

Affiliates earn $100 for every 10 Active Retained Paid Referrals.

- 10 retained referrals = $100 bonus - 15 retained referrals = still only $100 bonus - 20 retained referrals = $200 bonus Refunded or disputed referrals may reduce or void bonus eligibility.

Self-referrals, duplicate accounts, and fraudulent attribution manipulation are prohibited and may result in immediate termination and clawback of commissions.

Aware may reverse commissions or offset future payouts if transactions are refunded, disputed, or charged back.

Payouts are processed through Stripe Connect or approved payout providers. A minimum payout threshold of $50 (USD) must be met before a payout is issued. Eligible commissions are paid on the 1st of each calendar month following the applicable Net 30 hold period. Payouts are subject to manual admin review and approval before any funds are transferred. Affiliates must complete Stripe Connect onboarding and have payouts enabled on their account before any payout can be processed. Aware reserves the right to delay payouts pending identity verification, fraud review, or dispute resolution.

Affiliates are responsible for all applicable taxes and may be required to submit W-9 or W-8BEN forms prior to receiving payouts.

Affiliates may not make misleading earnings claims, spam users, misrepresent Aware, or engage in any deceptive marketing practices.

Aware may modify Program rules, commissions, or payouts at any time with notice where practicable.

Aware may suspend or terminate Affiliate participation at its discretion, including for abuse, fraud, self-referral, or violation of these terms or the Aware Terms of Service. A terminated or suspended affiliate cannot earn new commissions and cannot receive new referral attribution; outstanding referral links and pending attribution claims may be invalidated. Treatment of previously earned amounts follows these terms and the fraud, refund, chargeback, and reversal provisions. Termination for cause is separate and distinct from an ordinary subscription lapse: a subscription lapse only pauses new commissions until reactivation and does not close or terminate your affiliate account.

Aware is not liable for indirect damages, payout delays, or third-party failures.

Aware does not guarantee earnings, customer acquisition, or profitability. Past affiliate performance is not indicative of future results.

This Agreement shall be governed by the laws of the State of California, without regard to conflict of law principles.

Aware reserves sole discretion regarding attribution disputes, payout approvals, and interpretation of these Terms.

Affiliates must clearly and conspicuously disclose that they may earn a commission from their referral links. The disclosure must appear near the link or the content promoting Aware, before or at the point where a reader can click, and must be readable without expanding, hovering, or scrolling past unrelated content. Plain language such as "I may earn a commission if you sign up through my link" satisfies this requirement. Vague labels such as "affiliate link", "#ad" alone, or a disclosure buried in a bio, footer, or comment thread do not. This requirement applies to every channel, including websites, email, video, livestreams, podcasts, and social posts. Failure to disclose is a violation of these terms and may result in withheld commissions or termination.
